Lemon Tree Hotels' board approved a major Composite Scheme of Arrangement to split the company into two focused platforms: Lemon Tree Hotels as a pure asset-light hotel management and brand company, and Fleur Hotels as a large-scale hotel ownership and development platform. Warburg Pincus (via Coastal Cedar Investments B.V.) will buy APG's full 41.09% stake in Fleur and invest up to ₹960 crore in primary capital into Fleur. The scheme involves merging two of Lemon Tree's wholly-owned subsidiaries into itself, merging four others into Fleur, and demerging 12 hotels (11 operational plus one under-construction in Shimla) from Lemon Tree into Fleur. Post-scheme shareholding will be: existing Lemon Tree shareholders 32.96%, Lemon Tree 41.03%, and Warburg Pincus 26.01% of Fleur. Fleur will be separately listed on NSE and BSE within 12–15 months. Morgan Stanley advised on the transaction.
This restructuring unlocks the value of hotel real estate separately from the management business and brings in marquee capital from Warburg Pincus. For shareholders, the asset-light Lemon Tree becomes a pure fee-income play while Fleur becomes a capital-intensive growth vehicle — both expected to get clearer valuations once separately listed. The deal is broadly value-accretive but introduces execution risk around NCLT and regulatory approvals over the next 12–15 months.
