Yash Trading and Finance Limited has issued a corrigendum to the notice of its Extra-Ordinary General Meeting (EGM) scheduled for May 15, 2025. The correction relates to the shareholding pattern tables in the explanatory statement for Item No. 1, which deals with a preferential issue. The company's pre-preferential equity share base is 30,00,000 shares, which will expand to 1,00,00,000 shares after the preferential issue and Share Purchase Agreement (SPA). Five new acquirers — Vasantkumar Mangroliya, Madhubhai Vekaria, Pavankumar Trivedi, Vinubhai Vekaria and Manan Trivedi — will collectively hold around 70.55% as Promoter Group post-issue, while existing promoter Pradeep Kumar Sethy will hold just 100 shares. The corrigendum also lays out an alternative scenario where these five persons are treated as public shareholders pending completion of the open offer, in which case public holding would be 99,99,900 shares (nearly 100%). The revised tables have been published in Active Times (English) and Pratahkal (Marathi) on May 14, 2025.
For existing shareholders, this means a significant dilution — total share count will more than triple from 30 lakh to 1 crore, and control of the company will shift to a new promoter group holding roughly 70% of expanded capital. Shareholders should review the revised shareholding pattern and the open-offer implications carefully before the May 15, 2025 EGM vote.
