Lloyds Enterprises has issued a Postal Ballot Notice to shareholders for e-voting between June 7, 2025 and July 6, 2025, covering 9 special and ordinary resolutions. Four resolutions relate to the Lloyds Enterprises Employee Stock Option Plan 2025, which proposes up to 1,27,21,266 (1.27 crore) stock options, to be implemented through a new 'Lloyds Enterprises Employees Welfare Trust' that may receive an interest-free loan of up to 5% of paid-up capital and free reserves. The other five resolutions seek shareholder approval for material related party transactions, with annual limits of Rs. 100 crore with Lloyds Engineering Works, Rs. 500 crore with Lloyds Metals and Energy, Rs. 1,000 crore with Lloyds Realty and Developers, Rs. 100 crore with Indrajit Properties, and Rs. 200 crore with Lloyds Infrastructure & Construction, totaling up to Rs. 1,900 crore per year. CDSL has been engaged as the e-voting facilitator, with the cut-off date set as May 30, 2025.
If approved, the ESOP 2025 could lead to equity dilution of up to 1.27 crore shares, and the broad RPT limits (Rs. 1,900 crore annually across group companies) give the board significant transaction flexibility. Shareholders should review the resolutions and exercise their vote during the e-voting window as these approvals could affect ownership stake and related-party exposure.
