Lloyds Enterprises Limited has disclosed voting results of its postal ballot (e-voting period: June 7 to July 6, 2025) on 10 resolutions, all of which were passed. The four special resolutions relate to the Lloyds Enterprises Limited Employee Stock Option Plan (ESOP) – 2025, covering approval of the plan, grant of options to employees of subsidiary and associate companies, and provision of loans for share purchases by the trust. The six ordinary resolutions approve material related party transactions (RPTs) with Lloyds Engineering Works, Lloyds Metals & Energy, Lloyds Realty Developers, Indrajit Properties, Lloyds Infrastructure & Construction, and Lloyds Metals & Minerals Trading LLP. ESOP resolutions received 99.89% support with 79.67% of outstanding shares polled (101.35 crore of 127.21 crore). The RPT resolutions received 98.24%–98.55% support but only 5.76% of outstanding shares polled, because promoter group (holding ~94 crore shares) abstained as interested parties. Notably, public institutional investors voted 100% against several RPT resolutions, though retail shareholders voted overwhelmingly in favour (99.92%–99.97%).
