The board, at its meeting on 31st December 2025, approved three actions. First, allotment of 5,87,818 equity shares at Rs. 4 each (Rs. 1 face value + Rs. 3 premium) under the ESOP-2017 plan to the Lloyds Employees Welfare Trust. Second, allotment of 1,52,68,950 equity shares upon conversion of convertible warrants at Rs. 740 per share (Rs. 1 face value + Rs. 739 premium), bringing in Rs. 734.43 crore from the balance 65% subscription amount. Promoter allottees (Lloyds Enterprises Limited and Sky United LLP) together converted 1,50,00,000 warrants, while non-promoters converted 2,68,950 warrants. Third, grant of 1,60,000 new stock options under the ESOP-2024 scheme at an exercise price of Rs. 4 per option. Post-allotment, paid-up equity capital stands increased to 54,43,59,038 shares of Rs. 1 each.
Share count rises by roughly 2.9% (from ~52.91 crore to ~54.44 crore shares), causing mild dilution for existing shareholders. However, the Rs. 734 crore infusion from warrant conversion strengthens the balance sheet, and the high conversion price of Rs. 740 signals strong promoter confidence in the company's value.
