The board of Lloyds Metals And Energy Limited approved three actions on 31 December 2025. First, it allotted 5,87,818 equity shares of Rs. 1 face value to the Lloyds Employees Welfare Trust under the ESOP-2017 plan at Rs. 4 per share (Rs. 3 premium). Second, it approved the conversion of 1,52,68,950 convertible warrants into equity shares at Rs. 740 per share (Rs. 739 premium), bringing in approximately Rs. 734.44 crore. Major allottees were promoters Lloyds Enterprises Limited (75 lakh shares) and Sky United LLP (75 lakh shares), along with non-promoters Elysian Wealth Fund, Senthilnathan R., and Kalpana Sathishkumaran. Third, the board granted 1,60,000 Employee Stock Options under the ESOP-2024 scheme at an exercise price of Rs. 4 per option with a minimum one-year vesting period. After these allotments, the paid-up equity capital rises to Rs. 54,43,59,038 divided into 54,43,59,038 shares of Rs. 1 each. The new shares will rank pari passu with existing equity shares for dividend and voting rights.
The warrant conversion adds roughly 1.53 crore new shares, leading to share dilution but also strengthening the company's equity base by over Rs. 734 crore. Full conversion of warrants by promoters signals strong insider confidence in the company's prospects, while the fresh ESOP grants aim to retain and motivate employees.
