Lloyds Metals and Energy's board, at its meeting on 31st December 2025, approved three key actions. First, 5,87,818 equity shares were allotted under the ESOP 2017 plan to the Lloyds Employees Welfare Trust at Rs. 4 per share (Rs. 3 premium). Second, 1,52,68,950 convertible warrants held by promoters and non-promoters were converted into equity shares at Rs. 740 each (Rs. 739 premium), bringing in Rs. 734.44 crore. Promoters Lloyds Enterprises Limited and Sky United LLP each converted 75 lakh warrants, while non-promoter Elysian Wealth Fund partially converted 1,03,950 of its 3,42,000 warrants. Third, 1,60,000 new stock options were granted under the ESOP 2024 scheme at an exercise price of Rs. 4 per option. Post these actions, the company's paid-up equity capital rose to Rs. 54,43,59,038 divided into 54,43,59,038 shares.
The Rs. 734 crore raised via warrant conversion strengthens the company's capital base and signals strong promoter confidence, though the ~2.89% equity dilution from these conversions and ESOP allotments may modestly pressure short-term earnings per share.
