Lloyds Metals and Energy has called an EGM on 11th September 2025 (11:30 AM IST, via video conferencing) with e-voting from 8–10 September 2025. Shareholders will vote on 10 resolutions, the most significant being the issuance of 19,57,458 equity shares at Rs. 1,460.50 per share (aggregating ~Rs. 285.88 crore) to Adler Industrial Services as consideration for acquiring a 49% stake in Thriveni Pellets Private Limited (TPPL) through a share swap. The EGM also seeks approval for material related party transactions worth up to Rs. 5,000 crore annually with TPPL, Rs. 4,500 crore with Thriveni Earth Movers and Infra Pvt Ltd, and Rs. 4,000 crore with Brahmani River Pellets Limited. Additional resolutions include appointing Mr. Sujit Kumar Varma and Dr. Anita Shantaram as Independent Directors for 5-year terms, re-designating Mr. Shabbirhusein Khandwawala as a Non-Independent Director, and raising borrowing and Section 186 investment limits up to Rs. 15,000 crore each.
This EGM is approval-driven rather than price-moving on its own, but the share-swap acquisition of TPPL and large related-party transaction limits signal material expansion of business with Thriveni group entities. Existing shareholders will see a small dilution (~19.57 lakh shares) from the preferential issue, while passage of the borrowing/investment limits gives the board wider financial headroom for growth. Watch the voting outcome on 11th September and the TPPL acquisition closing for the next directional trigger.
