Lords Chloro Alkali held its first Extraordinary General Meeting (EGM) of FY 2025-26 on 18th March 2026 at its registered office in Alwar, Rajasthan, where all four resolutions were passed with overwhelming shareholder support. Resolution 1 (ordinary) approved the re-appointment of Shri Ajay Virmani (DIN: 00758726) as Managing Director for a further 5 years starting 12th July 2026, receiving 99.998% votes in favour. Resolution 2 (special) approved the payment of remuneration to Ajay Virmani, also passing with 99.998% in favour. Resolution 3 (special) approved remuneration for Whole Time Director Shri Madhav Dhir (DIN: 07227587), passing with 99.974% support, though 60,01,420 promoter shares held by Ms. Maneesha Dhir, Dhir Hotels and Resorts Pvt. Ltd., and Shiva Consultants Pvt. Ltd. were excluded from voting due to interest in the resolution. Resolution 4 (special) approved an increase in the overall managerial remuneration limit for directors, passing with 99.998% support. Out of 47,945 shareholders on record date, 42 public shareholders attended in person, and approximately 63.74% of outstanding shares were polled in total.
All four resolutions passed with near-unanimous support, confirming continuity in the senior leadership team and giving the board flexibility on managerial remuneration. With negligible dissent (less than 0.03% against on any resolution), the EGM outcome is unlikely to cause any negative market reaction and reflects strong shareholder confidence in management.
