LT Foods held its 35th AGM on September 30, 2025 via video conferencing (NSDL platform), lasting about 53 minutes (11:30 AM to 12:23 PM). Chairman Mr. Vijay Kumar Arora chaired the meeting; Company Secretary Ms. Monika Chawla Jaggia was absent and proceedings were conducted by Archisha Tyagi, while Independent Director Mr. Satish Chander Gupta also could not attend. Shareholders approved key items including the audited FY25 financial statements (standalone and consolidated), a final dividend of Rs. 1 per share (100%) on a face value of Re. 1, confirming the interim dividend of Rs. 2 (200%) already paid, re-appointment of Mr. Ashwani Kumar Arora as Director, re-appointment of MSKA & Associates as Statutory Auditors, and appointment of D Dixit & Associates as Secretarial Auditors. Importantly, shareholders also approved the new 'LT Foods ESOP Scheme 2025', grant of options to subsidiary employees, secondary acquisition of shares through the trust route, and provision of money by the company for the trust to buy back shares for ESOP implementation. The Auditors' Report and Secretarial Audit Report for FY25 had no qualifications, reservations, or adverse remarks. Voting results are awaited and will be shared with the stock exchanges.
For shareholders, the AGM confirmed a total FY25 dividend of Rs. 3 per share (Rs. 2 interim already paid plus Rs. 1 final) and a clean audit, both positive. The approval of the new ESOP 2025 scheme and the company's funding of share buyback through a trust could lead to mild future dilution or cash outflow, but is a routine employee incentive plan that may support talent retention.
