Lupin's Philippines-based subsidiary, Multicare Pharmaceuticals Philippines, Inc. (MPPI), has bought back 2,813,811 equity shares from some of its existing shareholders using its own retained earnings. Lupin's wholly owned Dutch subsidiary, Nanomi B.V., did not participate in the buyback, which has passively increased Nanomi's stake in MPPI from 51% to 56.28%. MPPI trades and distributes pharmaceutical products in the Philippines, with FY25 turnover of PHP 2,096.6 million and net worth of PHP 1,265.5 million. No cash was deployed by Lupin and this is not a related party transaction, with no promoter involvement.
This is a subsidiary-level action with no direct impact on Lupin's capital or its shareholders. The marginal increase in indirect ownership of MPPI is minor and unlikely to materially affect Lupin's consolidated financials or stock price.
