Mafia Trends has filed a revised outcome of its November 14, 2025 board meeting to correct a typo in the warrant issue price — changed from Rs. 13.00 to Rs. 13.50 per warrant. The board approved issuing 54 lakh equity warrants on a preferential basis to 15 non-promoter allottees, at a premium of Rs. 3.50 over the Rs. 10 face value, for an aggregate consideration of up to Rs. 7.29 crore. Allottees will pay 25% upfront and 75% on conversion within 18 months. The board also approved the H1 FY26 (ended Sept 30, 2025) unaudited results, showing total revenue of Rs. 1,006.36 lakhs (nearly double the Rs. 536.36 lakhs in H1 FY25) and profit after tax of Rs. 44.44 lakhs (up sharply from Rs. 8.75 lakhs). An EGM is scheduled for December 13, 2025, to seek shareholder approval for the warrant issue.
The warrant issue could result in significant dilution — up to 54 lakh new shares against existing paid-up equity of 44.34 lakh shares (over 100% potential dilution if fully converted). Shareholder approval at the December 13 EGM is a key near-term event. The sharply improved H1 FY26 financials are a positive signal, though warrant-related dilution may cap near-term price reaction.
