MTNL has been fined Rs. 5,31,000 (Rs. 4,50,000 basic fine + Rs. 81,000 GST) by both BSE and NSE for non-compliance with Regulation 17(1) of SEBI (LODR) Regulations, 2015. The violation pertains to failure to meet requirements for Board composition, including failure to appoint a woman director. The fine accrues at Rs. 5,000 per day over 90 days (March 2026 quarter). MTNL is a PSU where appointment of Independent Directors is handled by the Department of Telecommunications, Ministry of Communications. The company has already taken up the matter with the government and is requesting a waiver of the fines from both exchanges.
The fine amount of Rs. 5.31 lakh is relatively small for a company of MTNL's size and is not expected to materially impact its financials. However, if compliance is not achieved and non-compliance continues into the next quarter, MTNL risks being moved to the Z group with suspension of trading of its equity shares, which would be significantly more damaging to shareholders.
