Mahindra Holidays & Resorts India Limited (MHRIL), a listed subsidiary of Mahindra & Mahindra, announced that its step-down Finnish subsidiary Holiday Club Resorts Oy (HCR) has acquired 100% stake (448 shares) in Keskinäinen Kiinteistö Oy Salla Star (KKOSS), Finland, for a cash consideration of Rs. 2,34,73,220. KKOSS is a small Finnish mutual real estate company that owns a land plot and building in Salla, Finland, with FY24 turnover of just Rs. 5,13,644 and networth of Rs. 2,37,441. The acquisition was completed on July 3, 2025, and fulfils a pre-existing obligation under a 2012 lease agreement where HCR had been leasing the premises and was required to acquire the shares. The deal is not a related party transaction and needed no regulatory approvals.
This is a very small, financially immaterial acquisition (under Rs. 2.5 crore) executed at the subsidiary level to complete a long-pending 2012 agreement. Minimal direct impact on Mahindra & Mahindra or MHRIL shareholders; the move simply consolidates property ownership already in use by the group.
