Mahindra & Mahindra has completed the acquisition of an additional 28.03% stake in Carnot Technologies Private Limited from certain promoters for approximately Rs. 6.72 crore in cash. The acquisition was done at Rs. 11,978 per share. Following this transaction, M&M's holding in Carnot increases from 73% to 89% in terms of voting rights, while equity shareholding rises from 52.69% to 80.72%. Carnot, incorporated in August 2015, operates in precision farming and telematics, providing connected devices and platforms for monitoring vehicles and equipment. For FY26, Carnot reported revenue of Rs. 19.80 crore and profit after tax of Rs. 1.17 crore. The company states this acquisition aligns with its belief in the long-term potential of precision farming and telematics technology.
This acquisition reinforces Mahindra's strategic focus on agritech and connected technology. As Carnot remains a subsidiary with M&M increasing its control to 89% voting rights, the financial impact on M&M's consolidated financials should be minimal given Carnot's small size (~Rs. 20 crore revenue). The transaction qualifies as a related party transaction but was conducted on an arm's length basis.
