Mahindra & Mahindra Limited has approved acquisition of 26% stake in Neon Hybren Private Limited for up to Rs. 11.17 crores in cash. Neon is setting up a 30 MW solar power project in Punjab to supply power to M&M on captive basis. Under Electricity Rules 2005, captive consumers must hold at least 26% of the power plant's share capital. Neon is already a step-down subsidiary of M&M (wholly owned through Mahindra Susten Private Limited). Post-transaction, MSPL's holding will dilute from 100% to 74% while M&M will hold 26%. The deal is classified as a related party transaction but is being done at arm's length. Target company has nil revenue and negative PAT (Rs. 9.23 lakhs) for FY25. Expected completion by December 2026.
This is a relatively small strategic investment to secure captive solar power supply for M&M's operations. The deal size (Rs. 11.17 crore) is immaterial relative to M&M's scale and primarily ensures regulatory compliance for captive power usage. No significant impact on share price expected.
