Mahindra & Mahindra has been allotted 8.51 crore equity shares of its listed subsidiary Mahindra & Mahindra Financial Services Limited (MMFSL) under MMFSL's Rights Issue at Rs. 194 per share (face value Rs. 2, premium Rs. 192). This takes M&M's total investment to roughly Rs. 1,652 crore in this tranche, lifting its shareholding in MMFSL from 52.16% to 52.49% (64.44 crore shares to 72.96 crore shares). MMFSL, one of India's largest NBFCs focused on rural and semi-urban lending, has Assets under Management of Rs. 1,19,673 crore and standalone FY25 revenue of Rs. 16,018.95 crore. The allotment covers both M&M's rights entitlement and additional shares it subscribed to. The shares will be credited to M&M's demat account as per SEBI timelines.
M&M has deepened its holding in its financial services arm, signalling continued capital support for the NBFC subsidiary's growth. For M&M shareholders, this is a deployment of capital into a subsidiary rather than a return, but it strengthens MMFSL's capital base and could support future value from the financial services business.
