Manappuram Finance has informed the exchanges that the Reserve Bank of India (RBI) has granted final approval on March 18, 2026, for the indirect change of control and management of its two subsidiaries — Asirvad Micro Finance Limited (AMFL) and Manappuram Home Finance Limited (MHFL). This approval is linked to the proposed acquisition by BC Asia Investments XXV Limited and BC Asia Investments XIV Limited of up to 41.66% of the paid-up equity capital of Manappuram Finance, along with the consequent mandatory open offer to public shareholders under SEBI Takeover Regulations. The RBI has also waived the usual 30-day minimum public notice period for both subsidiaries. The approval is subject to conditions previously disclosed by the company in its February 14, 2026 filing. This marks a key regulatory clearance needed for the deal to proceed to completion.
This clears a major regulatory hurdle for the BC Asia Investments acquisition and brings the change of control transaction closer to completion.
