Manappuram Finance has allotted 9.29 crore equity shares to BC Asia Investments XXV Limited and 9.29 crore warrants to BC Asia Investments XIV Limited, both Bain Capital affiliates, via a preferential issue at ₹236 per share on March 27, 2026. After this allotment, the Bain Capital group holds 9.89% of the current equity share capital and 18% on a fully diluted basis (if all warrants are converted). The transaction triggers a mandatory open offer for up to 24.42 crore shares (26% of the expanded share capital) from public shareholders, in line with SEBI takeover regulations. The deal stems from a securities subscription agreement signed on March 20, 2025 between Bain Capital affiliates, the company, and the promoter group (V.P. Nandakumar and family). Voting rights on the newly allotted shares will only be exercisable after the open offer is completed.
This is a significant change of ownership event — Bain Capital becomes a major institutional shareholder, which may be viewed positively as a validation of the company's prospects.
