Manbro Industries has called its 33rd AGM for Monday, 29th September 2025 at 11:30 AM, to be held via video conferencing. The cut-off date for e-voting eligibility is 22nd September 2025, with remote e-voting open from 26th to 28th September 2025. Ordinary business includes adoption of FY25 audited financials, re-appointment of director Binod Kumar Goenka (retiring by rotation), and appointment of V.N. Purohit & Co. as new statutory auditors for 5 years, filling a casual vacancy caused by the resignation of M/s Umesh Amita & Co. Special business includes proposals to double the authorised share capital from ₹10.25 crore to ₹20.25 crore (1.02 crore to 2.02 crore equity shares of ₹10 each) and a special resolution to raise up to ₹100 crore via Qualified Institutional Placement (QIP) in one or more tranches. Ms. Ritika Wasson is also proposed as secretarial auditor for 5 years.
The proposed ₹100 crore QIP could result in significant equity dilution for existing shareholders depending on pricing and the number of shares issued. Doubling of authorised capital is a preparatory step to accommodate this or any future fundraising. The change in statutory auditor and the fresh secretarial auditor appointment are governance items requiring shareholder approval.
