Mangal Credit and Fincorp Limited reported FY2026 results with total revenue of ₹6,996.58 Lakhs (up 41% YoY from ₹4,957.62 Lakhs) and net profit of ₹1,530.65 Lakhs (up 17% YoY from ₹1,306.76 Lakhs). Basic EPS improved to ₹7.46 from ₹6.68. The Board recommended a final dividend of ₹0.75 per share (7.5% on ₹10 face value), subject to AGM approval. Separately, the company approved raising up to ₹25 Crore via issuance of up to 25,00,000 fully convertible unlisted equity warrants on preferential basis to promoters and non-promoters, which will be dilutive—promoter holding will increase from 55.25% to 59.99% post full conversion. Additional NCDs worth ₹30 Crore were also issued, bringing total listed NCDs outstanding to ₹80 Crore. Asset quality remains healthy with GNPA at 1.29% and provision coverage at 82.64%.
The dividend provides income support for shareholders. The preferential warrant issuance is the key concern—it is significantly dilutive as 25 lakh new shares can be issued at a price to be determined, increasing share count by ~11.8%. Existing shareholders should monitor the issue price once finalized as it will determine actual dilution.
