Mangal Credit and Fincorp Limited held its 63rd AGM on September 25, 2025 via video conferencing, and all 9 resolutions were approved with an overwhelming majority (over 99.9% in favour for most items). Key resolutions included adoption of audited financial statements for FY25, declaration of a final dividend of Rs. 0.75 per equity share (face value Rs. 10), and reappointment of Mr. Meghraj Jain as a director retiring by rotation. Shareholders also approved two material related party transactions involving loans of up to Rs. 70 crore from Mr. Meghraj Jain and up to Rs. 30 crore from Mr. Hardik Jain, valid through the next AGM. Additionally, Mr. Sriram Sankaranarayanan was reappointed as Independent Director for a second 5-year term, and Mr. Nilesh Jain's remuneration as Executive Director and CFO was revised upward from Rs. 24 lakh to Rs. 36 lakh per annum effective April 1, 2025. A new secretarial auditor was appointed for FY26–FY30, and the Articles of Association were amended to allow a debenture trustee nominee director in case of payment default.
All routine and special business at the AGM was cleared comfortably, with promoter and public voting largely in alignment. Retail shareholders should note the Rs. 0.75 per share dividend and the approval of Rs. 100 crore in aggregate related-party loans, which may warrant monitoring of related-party exposures.
