Mangalore Chemicals & Fertilizers Limited (MCFL, NSE: MANGCHEFER, BSE: 530011) has notified the exchanges about an NCLT-convened meeting of equity shareholders to be held on Monday, June 16, 2025 at 11:00 AM via video conferencing. The meeting has been directed by the NCLT Bengaluru Bench through its order dated May 1, 2025 in Company Application C.A.(CAA) No. 06/BB/2025. Shareholders will vote on a Composite Scheme of Arrangement under which MCFL (Transferor Company) will amalgamate into Paradeep Phosphates Limited (PPL, Transferee Company). Both firms operate in the fertilizers sector, and the stated rationale is to create one of the largest integrated private-sector fertilizer companies in India through synergies, cost reduction, and pooling of resources. Key approvals already in place include CCI clearance (July 30, 2024), observation letters from BSE (Feb 27, 2025) and NSE (Feb 28, 2025), valuations by SSPA & Co. and Mr. Pawan Shivkumar Poddar, and a fairness opinion from Fedex Securities. If shareholders approve, MCFL will merge into Paradeep Phosphates and MCFL shareholders will receive PPL shares in exchange under the approved share swap ratio.
