The board approved unaudited financial results for Q1 FY26 (quarter ended June 30, 2025). Total revenue was Rs. 26.89 lakh versus Rs. 38.88 lakh in the preceding quarter Q4 FY25, a sequential decline of about 30.8%. Profit after tax fell sharply to Rs. 2.19 lakh from Rs. 22.5 lakh in Q4 FY25. Year-over-year, the company swung from a small loss of Rs. 5.38 lakh to a profit and started generating meaningful operational revenue (Q1 FY25 had essentially none). The board also approved a preferential allotment of up to 68,47,600 equity shares at face value of Rs. 10 per share, to be issued to promoters and promoter-group non-promoters (largely the Agrawal family, totalling 25 allottees) to raise around Rs. 6.85 crore, subject to shareholder and stock exchange approval. Other items approved include omnibus related party transactions for the year, closure of a bank account, convening of the 46th AGM on September 11, 2025 via video conferencing, and appointment of an e-voting scrutinizer. Auditor DMKH & Co issued a clean (unqualified) limited review report.
Existing shareholders should note the proposed preferential issue is priced at face value (Rs. 10), which could dilute their holding if the shares trade above that level. The sharp sequential fall in revenue and profit, combined with a fresh capital raise, signals that this remains a small, early-stage business with volatile quarterly performance.
