Manorama Industries Limited has announced the results of its Postal Ballot conducted through remote e-voting between January 31, 2026 and March 1, 2026. Two resolutions were put to shareholders: (1) A Special Resolution to re-appoint Mr. Nipun Sumanlal Mehta (DIN: 00255831) as an Independent Director for a second term of 5 years, which was passed with 99.98% of votes in favour (4,11,41,264 shares by 123 members) and just 0.02% against; and (2) An Ordinary Resolution to increase the remuneration of Mr. Deep Saraf, Deputy CEO - Chief Coordinator, which was passed with 96.88% in favour (3,98,66,544 shares by 75 members) and 3.12% against. The Scrutinizer, M/s. Mehta & Mehta (Company Secretaries), confirmed both resolutions were passed with the required majority.
Both resolutions received overwhelming shareholder approval, with the director re-appointment enjoying near-unanimous support and the executive remuneration hike seeing only a small minority dissent. This signals strong investor confidence in the current board and management, and ensures continuity in leadership for the next five years.
