Maple Infrastructure Trust (InvIT) has issued a postal ballot notice to its unitholders seeking approval for a change in control of its Investment Manager, Maple Infra InvIT Investment Manager Private Limited. Under a Share Purchase Agreement dated December 24, 2025, MAIF 4 Investments India 2 Pte. Ltd. (MAIF 4) will acquire 63,504,799 equity shares (42.50% stake) in the Investment Manager from the current Sponsor, Maple Highways Pte. Ltd. (MHPL). Post-transaction, MHPL and MAIF 4 will each hold 42.50%, while 360 One Alternates Asset Management Limited will retain 15%, causing the Investment Manager to cease being a subsidiary of MHPL. The resolution requires a 60% majority of votes cast and is subject to SEBI and other regulatory approvals. Remote e-voting runs from February 28, 2026 to March 29, 2026.
This is a significant governance change for unitholders as a new entity (MAIF 4) takes joint control of the Investment Manager alongside the existing Sponsor. The outcome may affect management decisions, strategic direction, and investor confidence, but the deal still needs SEBI clearance and unitholder approval to complete.
