PPMS Real Estates LLP, the acquirer, completed its Open Offer for AVI Products India Limited at ₹33 per share. The offer ran from May 13 to May 26, 2026, with consideration paid by June 5, 2026. Out of a maximum 8,59,769 shares (26% of voting capital) offered to public shareholders, only 5,714 shares were tendered and just 5,014 were accepted, translating to a tiny actual offer value of ₹1,65,462 versus the proposed ₹2.83 crore. The acquirer's post-offer shareholding stands at 62.83% (20,77,683 shares), having acquired the bulk of its stake via a Share Purchase Agreement (23.68%) and Share Sale/Purchase Confirmation (14.20%) rather than through the open offer route. Public shareholding marginally changed from 37.33% to 37.17%.
The Open Offer was massively undersubscribed, showing very weak retail interest despite the take-over process. With the acquirer now holding 62.83%, control has effectively changed hands through SPA/SSPC deals, and the open offer served mainly as a regulatory formality. Shareholders should note the now-concentrated ownership structure, which may affect liquidity and future corporate decisions.
