Maruti Interior Products Ltd has filed a revised outcome of its February 3, 2026 board meeting, providing full SEBI-compliant disclosures for two acquisitions that were originally approved but lacked complete disclosures. First, the company will acquire the remaining 80% stake in Arrowin Metaltech (India) Pvt. Ltd (AMIPL) for Rs. 1,204 lakhs (28 lakh shares at Rs. 43 each), making it a wholly owned subsidiary; AMIPL manufactures telescopic drawer slides and cabinet auto hinges with turnover rising from Rs. 1.10 cr in FY23 to Rs. 6.23 cr in FY25. Second, the company will acquire 100% of HA & DL Holdings Pte. Ltd (Singapore) for Rs. 1,822 lakhs, whose Vietnam-based subsidiary Vina Metal Recycling Co. Ltd is the only BIS-licensed exporter of stainless steel products to India. Combined acquisition outlay is approximately Rs. 30.26 crores in cash, with both deals expected to close within 12 months; RBI approval is pending for the second deal.
Both acquisitions are strategic and complementary — AMIPL strengthens the domestic hardware product portfolio while Vina Metal Recycling adds an exclusive BIS-licensed stainless steel import channel from Vietnam, which could boost topline and bottomline. For shareholders, this signals growth-oriented capital deployment of around Rs. 30 crores via cash, with the foreign deal still subject to RBI clearance.
