Maruti Suzuki India Limited has announced the results of its Postal Ballot conducted via remote e-voting from May 19, 2025 to June 17, 2025. All four ordinary resolutions were approved by shareholders with overwhelming majority. The resolutions include: (1) Appointment of Mr. Sunil Kumar Kakkar as a Director (98.59% in favor), (2) Appointment of Mr. Sunil Kumar Kakkar as Whole-time Director designated as Director - Corporate Planning (98.74% in favor), (3) Appointment of Mr. Koichi Suzuki as a Director (98.52% in favor), and (4) Appointment of Price Waterhouse Chartered Accountants LLP as Statutory Auditors (99.82% in favor). The promoter and promoter group, holding 183,246,476 shares, voted 100% in favor of all resolutions. Total of 292,645,218 valid votes were polled out of 314,402,574 outstanding shares (93.08% participation). The scrutinizer was Mr. Sachin Khurana of RMG & Associates.
These are routine corporate governance approvals with very high shareholder support, indicating no material controversy. The appointments strengthen Maruti Suzuki's board with both an Indian executive and a Suzuki (parent company) representative, and formalize the appointment of a Big Four audit firm. No significant impact on stock price is expected from these routine resolutions.
