Max Estates Limited and New York Life Insurance Company (NYL) have made a further investment into the company's subsidiary, Max Estates Noida Private Limited (MENPL). NYL subscribed to 6.60 crore Series I 10% coupon unsecured compulsory convertible debentures (CCDs) for ₹66 crore, while Max Estates itself subscribed to 6.81 crore CCDs for ₹68.10 crore. This is a follow-up to the original binding MoU signed on March 27, 2025, and an earlier subscription of ₹450.30 crore worth of CCDs done jointly by MEL and NYL on July 18, 2025. The CCDs carry a 10% coupon rate and are compulsory convertible, meaning they will eventually convert into equity shares of MENPL. The total fresh investment in this tranche is ₹134.10 crore, strengthening MENPL's capital base for its real estate operations.
The additional capital infusion into the subsidiary supports growth funding for MENPL's real estate projects. For shareholders, this signals continued backing from a high-profile global institutional investor (NYL), which is a positive credibility signal, though the 10% coupon cost and eventual equity dilution at the subsidiary level are factors to monitor.
