MBL Infrastructure submitted its unaudited Q1 FY26 financial results to the exchanges on August 14, 2025. On a standalone basis, revenue from operations fell to Rs. 1,857 lakhs (from Rs. 2,235 lakhs a year ago), but profit after tax improved to Rs. 261 lakhs (from Rs. 193 lakhs), with EPS of Rs. 0.23. On a consolidated basis, the company reported a loss of Rs. 1,245 lakhs versus a Rs. 22,382 lakh profit in Q1 FY25, which had been boosted by a one-time exceptional gain of Rs. 23,828 lakhs linked to the Corporate Insolvency Resolution Process (CIRP). The board also approved the 30th AGM for September 20, 2025, noted the IBC resolution plan for wholly-owned subsidiary MBL (MP) Toll Road, and reconstituted the Nomination & Remuneration Committee. The auditor issued an unmodified limited review but added an 'Emphasis of Matter' flagging 11 notes covering the approved Resolution Plan, subsidiary insolvencies, contingent corporate guarantees, and pending Supreme Court matters.
Standalone earnings improved modestly on a small base, but the consolidated loss, exceptional-item-driven volatility, and the heavy emphasis of matter (highlighting IBC legacy issues, subsidiary insolvencies with eroded net worth, and contingent guarantees) point to ongoing structural and legal risks for shareholders.
