Medi Assist Healthcare's two wholly-owned subsidiaries - International Healthcare Management Services Private Limited (Transferor) and Mayfair Consultancy Services India Private Limited (Transferee) - are undergoing a Scheme of Amalgamation. The Regional Director, South Western Region, Bengaluru has rejected the fast-track merger application (RD-1) and referred the matter to NCLT Bengaluru. The RD found the scheme non-compliant as it failed to provide for shareholder meetings and lacked consideration/share swap ratio, which the RD stated would amount to extinguishing shareholders' interest without compensation. The matter will now be considered under the regular NCLT process under Section 232 of the Companies Act, 2013.
