Gujarat State Petronet Ltd (GSPL) has called an EGM of its equity shareholders on 17 October 2025 at 4 PM via video conferencing, as directed by the Ministry of Corporate Affairs through its order dated 10 September 2025. The meeting will consider and approve a Composite Scheme of Amalgamation and Arrangement involving the merger of Gujarat State Petroleum Corporation (GSPC), GSPL, and GSPC Energy into Gujarat Gas Ltd (GGL), along with a demerger of the gas transmission business of GSPL into a new resulting company, GSPL Transmission Ltd (GTL). Shareholders who held equity shares as of 1 August 2025 are eligible to receive the notice and vote, with remote e-voting open from 14–16 October 2025 and a cut-off date of 10 October 2025. Fairness opinions have been obtained from Saffron Capital Advisors and Fortress Capital Management, with valuations done by Ernst & Young Merchant Banking Services and SSPA.
