Megri Soft Limited informed the exchanges that its UK-based subsidiary, Megrisoft Limited, has allotted 60 new equity shares of GBP 1 each at par to Aprajita Kohli, a Director of both companies and a related party. As a result, the subsidiary's paid-up share capital increased from 100 to 160 shares, diluting Megri Soft's stake from 100% to 62.50%. Consequently, Megrisoft Limited has ceased to be a wholly-owned subsidiary but remains a subsidiary and material subsidiary, as Megri Soft retains majority shareholding and management control. The subsidiary contributed about 15.70% (INR 55.84 Lakhs) of the parent's turnover and 1.89% (INR 42.25 Lakhs) of net worth in the last financial year. The company stated that this allotment has no material impact on its financial position or operations.
This is a non-material, related-party transaction that is unlikely to affect shareholders materially. The parent retains majority control, so day-to-day operations and consolidation remain unaffected, though the UK subsidiary is no longer fully owned.
