Mini Diamonds (India) Limited conducted a Postal Ballot through remote e-voting from October 4, 2025 to November 2, 2025, on two ordinary resolutions: (1) approval for sub-division/split of equity shares, and (2) alteration of the capital clause of the Memorandum of Association to reflect the split. Both resolutions were passed with overwhelming support — 99.96% of valid votes in favour (289,823 votes) versus just 120 votes against. Total voting turnout was low at around 1.23% of outstanding shares, with promoter group votes cast entirely in favour. However, 261,966 promoter group votes were declared invalid by the scrutinizer. The scrutinizer Sandhya R. Malhotra (M/s. Manish Ghia & Associates) certified the process as fair and transparent.
The approved share split will increase the number of outstanding shares and lower the per-share price, which could improve liquidity and make the stock more accessible to retail investors. Investors should watch for the announcement of the record date and the new face value of shares.
