MKVentures Capital's wholly-owned subsidiary, Destination Properties Private Limited, has issued 1,800 Optionally Convertible Redeemable Debentures (OCDs) worth ₹18 crores to the parent company on August 13, 2025. These OCDs carry a zero coupon rate, as the instrument is optionally convertible in nature. The debentures have a 10-year tenure, with both the issuer and the debenture holder having the option to trigger conversion at any time after allotment, at a conversion price to be determined later as per applicable rules. This is an internal group transaction where the holding company is essentially infusing capital into its subsidiary through a convertible debt structure.
Since this is a transaction between the company and its wholly-owned subsidiary, it has no direct impact on minority shareholders or the stock price. It is essentially an internal capital structuring exercise and not a fundraising from the market.
