Motisons Jewellers Limited has announced the results of its Postal Ballot conducted through remote e-voting from March 27 to April 25, 2026. Shareholders approved two key resolutions with overwhelming majority (99.9991%). First, a Special Resolution to raise funds through issuance of equity shares and/or other eligible securities passed successfully. Second, an Ordinary Resolution to increase the company's authorised share capital and amend the Memorandum of Association also received near-unanimous approval. Only 5,685 votes (0.0009%) were cast against each resolution out of over 649.7 million shares voted. The scrutinizer from M/s Pinchaa & Co., Company Secretaries, confirmed the voting was conducted fairly and transparibly through MUFG Intime India's e-voting platform.
The near-unanimous approval signals strong shareholder confidence. The fund-raising mandate gives the company flexibility to pursue growth opportunities, while the capital increase prepares the structural capacity for future issuances or expansions.
