BCP Topco IX Pte. Ltd., a major shareholder of Mphasis, sold 1.80 crore shares (about 9.46% of the company) through an on-market sale on 18 November 2025. This sale triggered the release of an encumbrance (pledge) that had been created on these shares as security for a USD 1.1 billion facility dated July 2021, with DB International Trust (Singapore) acting as Security Agent for a syndicate of lenders. As a result, BCP Topco's shareholding fell from 40.10% (7.63 crore shares) to 30.64% (5.83 crore shares). The disclosure is filed under Regulation 29(2) of SEBI Takeover Regulations, and DB International Trust is not classified as part of the promoter/promoter group. Deutsche Bank entities separately continue to hold a negligible 139,362 shares (0.073%) in their own account.
Removes a chunk of pledged overhang on Mphasis shares, but the underlying event is a large secondary-market sale of nearly 9.5% by a significant institutional shareholder, which could weigh on short-term sentiment and price. BCP Topco remains a sizeable holder at over 30%, so no change-of-control concerns arise.
