BSE Limited has levied a fine of Rs. 5,42,800 (including GST) on MSTC Limited for the quarter ended 31st December, 2025. The penalty is for non-compliance with the composition of the Board under Regulation 17(1) of SEBI's Listing Obligations and Disclosure Requirements (LODR) Regulations, 2015, which mandates a certain number of independent directors on company boards. MSTC, a Mini Ratna Category-I PSU under the Ministry of Steel, has clarified that all directors — including independent directors — are appointed by the Government of India through the Administrative Ministry, and the company has no role in their selection. The company has continuously followed up with the Ministry of Steel for nominations but has not yet received the required appointments, and has formally requested BSE to waive off the fine.
The fine is a small, non-material amount relative to MSTC's operations and the company states it has no impact on financials, operations, or business activities. Shareholders are unlikely to see any meaningful stock price effect, as the issue stems from government-level appointments rather than company mismanagement.
