MTAR Technologies Limited has filed minutes of postal ballot results where shareholders approved three special resolutions with overwhelming majority (over 99.9% in favour). First, the company increased its borrowing limits from Rs. 730.72 Crores to Rs. 800 Crores for the company alone and Rs. 900 Crores including subsidiaries/associates. Second, shareholders approved creation of mortgage or charge on company assets to secure future borrowings. Third, independent director commission was increased from Rs. 15 Lakhs to Rs. 25 Lakhs per director per year (up to 1% of net profits, capped at Rs. 1.25 Crores for 5 independent directors), effective from FY 2026-27. Voting participation was strong with 475 members casting 19.28 million votes.
The enhanced borrowing limits give the company greater financial flexibility for future growth and acquisitions. The increased independent director commission reflects higher governance responsibilities and may help retain experienced board members. These are routine corporate governance actions that signal management confidence in the company's growth trajectory.
