National Fertilizers Ltd (NFL), a government-owned PSU under the Ministry of Chemicals and Fertilizers, has filed its Annual Secretarial Compliance Report for FY25. The report flags non-compliance with SEBI LODR rules on board composition: the company lacks the required number of Independent Directors, including a Woman Independent Director, on its Board, Audit Committee, and Nomination & Remuneration Committee. As a result, BSE and NSE imposed fines of Rs 2,89,100/- under Regulation 17(1) and Rs 75,520/- under Regulation 19(1). NFL has explained it has no control over director appointments, as all directors (including independents) are appointed by the Administrative Ministry, and is currently following up with the Ministry to fill these vacancies. NSE had previously waived similar fines for FY24 in June 2024, and the company has requested waivers again. Other areas such as secretarial standards, website disclosures, related party transactions, insider trading, and event disclosures were found compliant.
The fines are small relative to NFL's size and are consistent with prior-year issues that NSE has already waived, so any direct share-price impact is expected to be limited. The matter is procedural and stems from government-controlled appointment of independent directors rather than any operational or financial issue, and a waiver from BSE/NSE remains likely based on the prior precedent.
