National Fittings Limited conducted a postal ballot via e-voting (14 Jan 2026 to 12 Feb 2026) seeking shareholder approval to shift the company's registered office from Tamil Nadu to Gujarat. Of the 4,905 shareholders on the cut-off date (9 Jan 2026), 48 members cast votes, with all 37,30,789 (37.31 lakh) votes in favour of the special resolution and none against. The resolution was therefore passed with the requisite majority under the Companies Act, 2013. The scrutinizer (B. Krishnamoorthi, Chartered Accountant) confirmed the e-voting process conducted via NSDL was fair and transparent.
The company's registered office will now be moved from Tamil Nadu to Gujarat, which may change the jurisdiction of regulatory oversight but is unlikely to materially affect existing operations or shareholder rights. Shareholders saw one item of business concluded successfully with no dissent.
