Two members of the promoter group — Sangeeta Modi and Shakuntla Modi — have transferred their entire shareholdings to immediate relatives by way of gift on 11 September 2025. Sangeeta Modi transferred 2,70,976 shares (4.90% of paid-up capital / 6.04% of voting capital), and Shakuntla Modi transferred 78,810 shares (1.43% of paid-up capital / 1.76% of voting capital). Both transfers were off-market inter-se transfers among immediate relatives, which are exempt under Regulation 10(1)(a)(i) of SEBI Takeover Regulations. After the transfers, both transferors hold zero shares.
