National Highways Infra Trust (NHIT) has issued a clarification correcting a typographical error in Scenario 1 of the post-issue unitholding pattern table, which was part of the explanatory statement for its 6th Extra-Ordinary Meeting notice (and addendum). The correction only fixes the post-issue figures for Scenario 1; Scenario 2 remains unchanged and all other disclosed information stays the same. Under the corrected numbers, the Sponsor will hold up to 25,47,09,500 units (11.91%) post-issue, while other unitholders will hold up to 1,92,41,81,100 units (88.09%), with a total post-issue unit base of up to 2,13,85,50,600 units. The maximum units to be issued under the preferential allotment and institutional placement together stand at 20,17,00,000 units, of which up to 4,03,40,000 units will go to the Sponsor and a minimum of 16,13,60,000 units to other unitholders via institutional placement.
This is a purely administrative correction with no change in the actual terms of the preferential issue; existing unitholders and prospective investors should not see any change in fundamentals or dilution beyond what was already disclosed.
