National Oxygen Ltd is convening an EGM on May 28, 2026 to seek shareholder approval for two proposals. First, the company wants to increase its authorized share capital from Rs.17.10 Crores to Rs.18.10 Crores by creating 10 lakh additional equity shares of Rs.10 each. Second, the company proposes to allot 9,50,000 equity shares to Saraf Housing Development Private Limited, a promoter group company, at Rs.93.80 per share (including Rs.83.80 premium), totaling approximately Rs.8.91 Crores. The funds raised will be used for working capital requirements, general corporate purposes including brand building and operational efficiency, and potentially repaying or prepaying existing borrowings to reduce finance costs and improve the debt-to-equity ratio.
This preferential allotment to the promoter group will dilute existing shareholders' stakes. However, the infusion of Rs.8.91 Crores strengthens the company's balance sheet and provides liquidity for operations and debt reduction. The transaction is at market price determined as per SEBI ICDR regulations.
