Nazara Technologies has called an Extraordinary General Meeting on August 13, 2025 (via video conferencing) to seek shareholder approval for de-subsidiarising Nodwin Gaming Private Limited, currently a material subsidiary. Nazara holds 51.78% of Nodwin's equity (plus 3,454 convertible preference shares). Nazara has decided not to participate in Nodwin's proposed capital raise from new and existing investors, which will dilute its stake below 50%, and will also waive certain controlling and restrictive rights. Post de-subsidiarisation, Nodwin will be reclassified as an associate company, while Nazara will remain the single largest shareholder retaining board representation, affirmative voting rights on select matters, and information rights. E-voting will run from August 8 to August 12, 2025, with a cut-off date of August 6, 2025.
Nazara is giving up control of Nodwin Gaming, which means Nodwin will move from a subsidiary to an associate — this could reduce consolidated revenue/profit contribution and change the way Nodwin's financials flow into Nazara's accounts. Management frames this as a strategic refocus on core gaming IPs, but investors may view the loss of a controlling stake in a fast-growing esports asset as a negative, at least in the short term.
