Nazara Technologies' material subsidiary Nodwin Gaming plans to raise fresh capital from its existing shareholders to fund aggressive growth in esports and youth media. Nazara has decided not to participate in this capital raise and will also give up some of its controlling and restrictive rights in Nodwin. As a result, Nazara's stake in Nodwin will drop below 50%, causing Nodwin to lose its status as a subsidiary and become an associate company, though Nazara will remain its largest shareholder. The move is part of Nazara's sharper strategic focus on its core gaming intellectual properties. The Board has approved the change, subject to shareholder approval through a special resolution at an Extraordinary General Meeting (EGM) scheduled for August 13, 2025.
Nodwin Gaming is one of Nazara's key revenue contributors, so losing majority control could reduce consolidated revenue and earnings visibility, which may weigh on the stock in the short term. However, the strategic shift allows Nazara to focus on its own gaming IPs while Nodwin raises capital independently. Shareholders will need to vote on the proposal at the EGM on August 13, 2025.
