Neetu Yoshi Ltd has issued a corrigendum to its EGM notice to correct and clarify details of a proposed preferential issue of 26,42,400 convertible warrants at Rs. 104 per warrant, raising approximately Rs. 27.48 crore. The funds will be used to fund working capital over two years, supporting a new plant beginning production and Track Division expansion requiring increased inventory and raw materials. The corrigendum updates document links for supporting certificates and adds disclosure that the company had raised funds through an IPO in FY 2025-26. The largest allottee is Promoter Subodh Lohia (600,000 warrants), followed by Venturex Fund I (336,800) and Swastika Investmart Ltd (200,000). Post-issue, promoter shareholding will dilute from 70.03% to 67.01%.
The preferential warrant issuance will cause shareholding dilution of approximately 2-3% for existing shareholders. The Rs. 27.48 crore infusion supports operational expansion but current shareholders face dilution upon warrant conversion within 18 months.
