Newtime Infrastructure had issued 2.06 crore fully convertible warrants to non-promoter allottees in February 2024. Of these, 46 lakh warrants were converted into equity shares in tranches following Board approval. The remaining 1.36 crore warrants lapsed on August 7, 2025 because the allottees failed to exercise their conversion option within the 18-month exercise window. As a result, the 25% upfront amount already paid by those allottees has been forfeited by the company per SEBI ICDR Regulations. This means no further dilution of equity from the lapsed warrants, while the company retains the forfeited upfront money.
Shareholders see reduced potential dilution since 1.36 crore warrants have lapsed and will not convert into shares. The forfeited 25% upfront amount is a small one-time gain for the company.
