Nexome Capital Markets Limited's board has approved the conversion of 19,20,000 equity convertible warrants into an equal number of fully paid-up equity shares of Rs. 10/- each. The conversion price was Rs. 64/- per share (Rs. 10 face value + Rs. 54 premium), with the balance 75% (Rs. 48/- per warrant) totaling Rs. 9,21,60,000 received from warrant holders. All 5 allottees — promoter Mr. Utsav Parekh (3,88,000 shares) and non-promoter entities Panchganga Advisors, Monet Securities, Forbes EMF, and Chivas Trading — exercised their warrants simultaneously. Post-conversion, the company's paid-up equity capital stands at Rs. 10,73,55,000/- (1,07,35,500 shares). The new shares will rank pari-passu with existing shares and the company will seek listing and trading approval from BSE.
Share count increases by ~21.8% (from 88,15,500 to 1,07,35,500 shares), diluting existing shareholders. The conversion was on standard terms with no discount applied. Promoter Utsav Parekh's stake rises from ~1.64% to ~4.96%, while each non-promoter entity holds around 3.5-3.6% post-conversion.
